1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Sandhu Technologies LLC ("Prano," "we," "us"), 15305 Dallas Parkway, Suite 1200, Addison, TX 75001‑6423, United States.
They govern your use of the Prano mobile application, our website at https://pranoapp.com, and all related services (together, the "Service").
By downloading, installing, or using Prano, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy is incorporated into these Terms by reference.
2. Where Prano is offered, and who may use it
Prano is offered in the United States, Canada, Australia and India. It is not offered in the European Economic Area, the United Kingdom, or Switzerland.
You must be at least 13 years old to use Prano.
In India, you must be at least 18 years old. India's Digital Personal Data Protection Act 2023 treats everyone under 18 as a child and requires verifiable parental consent before their personal data may be processed, and Prano does not operate a verifiable parental consent mechanism.
If you are under the age of majority where you live, you may use Prano only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.
You confirm you are not barred from using the Service under the laws of your jurisdiction, and that you are not located in a country subject to comprehensive US sanctions.
3. Your account
- You are responsible for the accuracy of the information you provide.
- You are responsible for keeping your credentials confidential and for all activity under your account.
- Tell us immediately at contact@anantex.com if you suspect unauthorised access.
- One account per person. Do not share, sell or transfer your account.
- We may refuse, suspend or terminate an account that violates these Terms.
4. Licence
Subject to these Terms, we grant you a limited, personal, non‑exclusive, non‑transferable, revocable licence to install and use Prano on devices you own or control, for your own personal, non‑commercial use. This licence does not transfer ownership of anything.
5. What Prano is — and is not
Prano analyses photographs of barcodes, labels, meals and restaurant menus and returns a personalised 0–100 health score, an ingredient breakdown, and healthier swap suggestions, together with an AI assistant (Ask Prano) that answers questions about your scans.
Prano is an informational and educational tool. It is not: - a medical device - a diagnostic tool - a source of medical, clinical, dietetic or nutritional advice - a substitute for a doctor, registered dietitian or other qualified professional - a reliable means of determining allergen safety - an accurate laboratory measurement of nutritional content
See §7.
6. Accuracy, AI output, and your judgement
Prano's analysis, scores and Ask Prano responses are generated by automated systems, including artificial intelligence models operated by our processor Anthropic, working from photographs, your stated profile, and product databases including OpenFoodFacts. These systems are imperfect and will sometimes be wrong.
You acknowledge that:
- Nutrient values and health scores estimated from an image are approximations, not measurements. Portion‑size estimation in particular is imprecise.
- Foods may be misidentified. Hidden ingredients, oils, sauces, preparation methods and cross‑contamination are frequently invisible to a camera.
- Product and barcode databases (including OpenFoodFacts) may be incomplete, regionally inaccurate, or out of date. Manufacturers change formulations without notice.
- Ask Prano can be inaccurate, incomplete, outdated, or confidently wrong. It is not a clinician, it does not know your full medical history, and it cannot assess your individual circumstances the way a professional can. Check anything it tells you against the physical product packaging or a qualified professional before you rely on it.
- Outputs are general information about food, not personalised medical recommendations about you.
You must exercise your own judgement, and verify anything that matters against the physical product packaging or a qualified professional.
7. Health and medical disclaimer
PLEASE READ THIS SECTION CAREFULLY.
PRANO DOES NOT PROVIDE MEDICAL ADVICE. The content and analysis provided through the Service — including your health score, ingredient breakdowns, swap suggestions, and Ask Prano's responses — are for general informational and educational purposes only. Nothing in the Service constitutes, or is a substitute for, professional medical advice, diagnosis or treatment.
ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTHCARE PROFESSIONAL with any questions about a medical condition, your diet, or before beginning, changing or stopping any dietary regimen. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY SEEKING IT because of something you read in Prano.
ALLERGIES AND INTOLERANCES. DO NOT RELY ON PRANO TO DETERMINE WHETHER A FOOD IS SAFE FOR YOU TO EAT. Prano cannot detect trace allergens, cross‑contamination, undeclared ingredients, or manufacturing changes, and its recognition of what is on a plate or a label can be wrong. If you have a food allergy or intolerance, always read the physical product label and, where relevant, confirm directly with the manufacturer or the establishment serving the food. Reliance on Prano for allergen safety may result in serious injury or death.
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, INCLUDING AN ALLERGIC REACTION, CALL YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. Do not use Prano.
SPECIAL CIRCUMSTANCES. Consult a healthcare professional before relying on any information in the Service if you are pregnant or breastfeeding, are managing a medical condition, are taking medication that interacts with food, have a history of disordered eating, or are using the Service on behalf of a child.
NO PROFESSIONAL RELATIONSHIP. Use of the Service does not create a doctor–patient, dietitian–client, or any other professional relationship between you and Prano.
NO CLAIMS. Prano makes no claim to diagnose, treat, cure, mitigate or prevent any disease or health condition. The Service has not been evaluated by the U.S. Food and Drug Administration, Health Canada, the Australian Therapeutic Goods Administration, India's Central Drugs Standard Control Organisation, or any equivalent regulator.
8. Subscriptions and payment
8.1 Free tier and Prano Pro
Prano is free to download. The free tier includes unlimited barcode scans, allergen checks for every profile you save, 3 label or meal photo scans a day, personal scores for you and one other person, and 5 AI questions a day through Ask Prano. Prano Pro is an auto‑renewing subscription that removes the daily photo‑scan and question limits (subject to fair use), adds personal scores for up to 6 people, and unlocks full scan history and advanced analytics.
Current plans: - Monthly — USD 7.99 - Annual — USD 59.99
Prices are shown in your local currency at the point of purchase and may vary by region and applicable tax.
8.2 Billing
All purchases are processed by Apple (App Store) or Google (Google Play), not by us, using RevenueCat to manage entitlement on our side. Payment is charged to your Apple Account or Google Account at confirmation of purchase.
8.3 Auto‑renewal
Your subscription renews automatically at the end of each period unless you turn off auto‑renew at least 24 hours before the period ends. Your account is charged for renewal within the 24 hours before the current period ends, at the then‑current price.
8.4 Free trial
New subscribers are offered a 7‑day free trial. If you do not cancel at least 24 hours before the trial ends, you will be charged automatically for the plan you selected. Any unused portion of a free trial is forfeited the moment you purchase a subscription — starting a paid plan during the trial ends the trial immediately and the remaining trial days are not credited or refunded. One trial per user; we may refuse a trial to anyone who has had one before.
8.5 Cancellation
Cancel any time in your Apple Account settings (Settings → your name → Subscriptions) or the Google Play Store (Menu → Subscriptions → Prano Pro → Cancel). Deleting the App does not cancel your subscription — you must cancel through the store you subscribed with. Cancellation takes effect at the end of the current billing period; you keep Pro access until then.
8.6 Refunds
Refunds are handled by Apple and Google under their own policies, not by us. We cannot issue, guarantee or expedite a store refund. Request one at reportaproblem.apple.com or through Google Play's support flow. Except where the law requires otherwise, payments are non‑refundable and we do not provide partial‑period refunds directly.
8.7 Your statutory consumer rights
Nothing in this section limits rights you have under consumer law that cannot be excluded by contract.
- Australia. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they are not of acceptable quality and the failure does not amount to a major failure.
- Canada. Provincial consumer protection legislation may give you rights that these Terms cannot override, including in Quebec under the Consumer Protection Act.
- India. You retain your rights under the Consumer Protection Act 2019, including the right to complain to a Consumer Disputes Redressal Commission.
- United States. Some states do not allow certain exclusions or limitations, in which case they do not apply to you.
8.8 Price changes
We may change prices. Existing subscribers will be notified in advance in accordance with Apple's and Google's requirements, and a price increase takes effect only at your next renewal. If you do not accept it, cancel before renewal.
9. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, or in breach of any applicable regulation
- upload images that are unlawful, obscene, defamatory, or that depict people without their consent
- attempt to use Prano, including Ask Prano, to obtain a medical diagnosis or to guide the treatment of a medical condition
- use Prano to promote, facilitate or support disordered eating, extreme restriction, or unsafe dietary practices, or to circumvent clinical supervision
- reverse‑engineer, decompile, disassemble, or attempt to extract the source code, models, prompts or weights underlying the Service
- scrape, crawl, bulk‑download or systematically extract data from the Service, including from OpenFoodFacts‑sourced product data as surfaced through Prano
- resell, sublicense or commercially exploit the Service or its outputs without our written permission
- circumvent scan limits, entitlement checks, rate limits or other technical restrictions
- introduce malware, or interfere with the integrity or performance of the Service
- create accounts by automated means, or impersonate any person or entity
- use the Service to train a competing machine learning model
We may investigate, suspend or terminate access for any suspected violation.
10. Your content and our content
10.1 Your content
You keep ownership of the photographs, questions and profile information you provide ("Your Content").
You grant us a worldwide, non‑exclusive, royalty‑free licence to host, store, reproduce, process and transmit Your Content solely to operate and provide the Service to you, and to comply with law. This licence ends when you delete the content or your account, subject to the retention periods in our Privacy Policy.
We do not use Your Content to train third‑party AI models. Where we use data to improve Prano's own scoring, we use aggregated or de‑identified data, unless you have separately and explicitly opted in.
You confirm you have the right to provide Your Content and that doing so does not infringe anyone's rights.
10.2 Our content
The Service, including its software, design, brand, name, logo, the mark PRANO, the tagline "Know What Fuels You," and its scoring methodology and databases, is owned by us or our licensors and protected by intellectual property law. Nothing in these Terms transfers any of it to you.
10.3 AI output
Subject to these Terms and your compliance with them, you may use the score, breakdown and Ask Prano responses generated for you for your own personal purposes. We make no claim of ownership over output as it applies to you, and we make no warranty of any kind about it (see §11). Output may be similar or identical across users; we make no exclusivity claim.
10.4 Feedback
If you send us suggestions, we may use them freely and without obligation or compensation to you.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.
We do not warrant that: the Service will be uninterrupted, secure or error‑free; that health scores, nutritional analysis, ingredient identification, allergen detection or Ask Prano responses will be accurate, complete or current; that defects will be corrected; or that the Service will meet your requirements or produce any particular health outcome.
Some jurisdictions do not allow the exclusion of implied warranties or statutory guarantees, so some of the above may not apply to you — see §8.7. Nothing in these Terms limits your mandatory statutory rights as a consumer, or our liability for death or personal injury caused by our negligence, or for fraud.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, arising out of or relating to your use of, or inability to use, the Service — including any loss or injury arising from reliance on a health score, nutritional analysis, ingredient information, allergen information, or an Ask Prano response — whether based in contract, tort, strict liability or otherwise, and whether or not we were advised of the possibility.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) fifty US dollars (US$50).
These limitations are a fundamental basis of the bargain between us and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you — in particular, nothing here excludes or limits liability that cannot lawfully be excluded, including under the Australian Consumer Law.
13. Indemnity
You agree to indemnify and hold harmless Sandhu Technologies LLC, its officers, members, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising from: your use of the Service; Your Content; your breach of these Terms; your violation of any law or third‑party right; or your reliance on the Service for any medical, dietary or allergen‑related decision.
14. Governing law and dispute resolution
14.1 Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict‑of‑laws rules, and excluding the UN Convention on Contracts for the International Sale of Goods.
14.2 Informal resolution first
Before starting formal proceedings, you agree to contact us at contact@anantex.com with a written description of the dispute and to attempt to resolve it informally for 60 days. Most disputes are resolved this way.
14.3 Binding arbitration — United States only
This section applies only if you are a resident of the United States.
If informal resolution fails, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Dallas County, Texas, or conducted remotely at your election. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions: either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.
14.4 Class action waiver — United States only
IF YOU ARE A US RESIDENT, YOU AND PRANO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. Claims may be brought only in an individual capacity. If this waiver is found unenforceable, the arbitration agreement in §14.3 is void in its entirety as to that claim.
14.5 Your right to opt out — genuinely, and without penalty
You may opt out of §14.3 (arbitration) and §14.4 (class action waiver) entirely, for any reason or no reason, by emailing contact@anantex.com within 30 days of the date you first accept these Terms, with your name, the email address on your account, and a clear statement that you opt out of arbitration under this section. Opting out does not affect your ability to use Prano, does not affect any other part of these Terms, and we will not treat an opt‑out as a reason to restrict, suspend or otherwise disadvantage your account. If you opt out, disputes between you and Prano are resolved in the state or federal courts located in Dallas County, Texas, and both parties consent to personal jurisdiction there.
14.6 Consumers in Canada, Australia and India
Sections 14.3 and 14.4 do not apply to you. Nothing in this section deprives you of the protection of the mandatory law of your country — or, in Canada, your province — of residence, or of your right to bring proceedings in the courts of that place. In particular:
- Canada. Where provincial consumer protection legislation prohibits or restricts mandatory arbitration or class action waivers in consumer contracts, that legislation prevails. Quebec residents may bring proceedings in the courts of Quebec.
- Australia. You may bring proceedings in the courts of Australia, and your rights under the Australian Consumer Law are unaffected.
- India. You may pursue a complaint through the Consumer Disputes Redressal Commissions under the Consumer Protection Act 2019.
15. Changes, suspension and termination
15.1 Changes to the Service
We may modify, suspend or discontinue any part of the Service at any time. If we discontinue a paid feature materially, we will give reasonable notice and, where appropriate, a pro‑rata refund via the relevant app store.
15.2 Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice in the App or by email. Continued use after the effective date constitutes acceptance. If you do not accept, stop using the Service and cancel your subscription.
15.3 Termination
You may stop using Prano at any time and delete your account in the App, or via the web deletion page at https://pranoapp.com/delete-account. We may suspend or terminate your access immediately for breach of these Terms, for suspected fraud or abuse, or where required by law.
On termination, your licence ends. Sections 6, 7, 10.2, 11, 12, 13, 14 and 17 survive.
16. Apple‑specific terms
These terms apply to the iOS version of Prano and are required by Apple.
- These Terms are between you and Sandhu Technologies LLC only, not with Apple. Apple is not responsible for Prano or its content.
- Your licence to use Prano on iOS is limited to a non‑transferable licence to use it on Apple‑branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide any maintenance or support for Prano.
- If Prano fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to Prano.
- Apple is not responsible for addressing any claim by you or a third party relating to Prano, including product liability claims, claims that Prano fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation, including in connection with health and wellness apps.
- In the event of a third‑party claim that Prano or your use of it infringes intellectual property rights, Sandhu Technologies LLC, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third‑party beneficiaries of these Terms, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third‑party beneficiary.
- Contact for questions, complaints or claims: contact@anantex.com.
17. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between us regarding the Service.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
- Notices. We may give notice by email to your account address or by in‑App message. Notices to us go to contact@anantex.com and, for formal legal notices, to J Sandhu, Founder, Sandhu Technologies LLC, 15305 Dallas Parkway, Suite 1200, Addison, TX 75001‑6423, United States.
- Language. These Terms are drafted in English. Any translation is for convenience; the English version governs.
